Terms of Service

1. Scope
These Terms of Service ("Terms") govern your access to and use of the website, training programs, lab environments, mentoring services, and all related offerings provided by Clearpath Professional Development Ltd. ("Clearpath," "we," "us," or "our"), a corporation registered in Canada under Business Number 845917263 RC0001, with offices at 1055 West Georgia Street, Suite 2100, Vancouver, BC V6E 3P3.
By accessing our website, requesting a quote, or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree to these Terms, you must not use our services.
2. Service Description
Clearpath provides professional development and training services focused on systems administration, cloud infrastructure, networking, and related technical disciplines. Our offerings include, but are not limited to:
- Instructor-led training courses delivered on-site or virtually
- Hands-on lab environments provisioned for practical exercises
- One-on-one and group mentoring sessions with experienced practitioners
- Custom training program design for teams and organizations
- Quote-based pricing determined by the scope, duration, and specific requirements of each engagement
All services are delivered on a quote-based model. Pricing, timelines, deliverables, and terms specific to each engagement are detailed in the individual quote or statement of work provided to you. In the event of a conflict between these Terms and a signed statement of work, the statement of work shall prevail for that specific engagement.
3. User Obligations
When using our website and services, you agree to:
- Provide accurate, current, and complete information in any forms or communications
- Use our services and any provided lab environments solely for their intended educational and professional purposes
- Not attempt to gain unauthorized access to any systems, networks, or accounts associated with our services
- Not reproduce, distribute, or share course materials, lab credentials, or proprietary content without our prior written consent
- Comply with all applicable laws and regulations in connection with your use of our services
- Notify us promptly if you become aware of any security breach or unauthorized use of credentials provided to you
4. Intellectual Property
All content on our website—including text, graphics, logos, images, course materials, lab configurations, and software—is the property of Clearpath Professional Development Ltd. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use course materials solely for your personal professional development during the term of your engagement. You may not copy, modify, distribute, sell, or create derivative works from any of our materials without express written permission. This licence terminates upon completion of the relevant training engagement or upon termination of these Terms.
5. Payment Terms
All prices are quoted and invoiced in Canadian Dollars (CAD). Applicable taxes, including GST/HST and provincial sales taxes, will be added to the quoted amount as required by law.
Payment terms are specified in each individual quote. Unless otherwise stated, invoices are due within 30 days of the invoice date. We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days past due.
Pricing provided in a quote is valid for 30 days from the date of issuance, unless a different validity period is stated in the quote itself. After this period, we reserve the right to revise the pricing.
6. Cancellation & Refunds
Cancellations made 14 or more business days before a scheduled training start date are eligible for a full refund of any prepaid fees. Cancellations made between 7 and 13 business days before the start date are subject to a 50% cancellation fee. Cancellations made fewer than 7 business days before the start date are non-refundable.
We reserve the right to cancel or reschedule training sessions due to insufficient enrolment or circumstances beyond our control. In such cases, you will be offered the option of rescheduling to a future date or receiving a full refund. We are not liable for any incidental costs, such as travel or accommodation expenses, arising from cancellation or rescheduling.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Clearpath Professional Development Ltd., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website or services. This includes, without limitation, damages for loss of profits, data, goodwill, or other intangible losses.
Our total aggregate liability for any claims arising from or related to a particular engagement shall not exceed the total fees paid by you for that specific engagement. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
8. Warranty Disclaimer
Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of any course content, lab environment, or materials provided.
We disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we strive to provide high-quality training, we do not guarantee that participation in our courses will result in certification, employment, or any particular professional outcome.
9. Data Protection
We are committed to protecting your personal information. Our collection, use, and disclosure of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By agreeing to these Terms, you also acknowledge and accept the practices described in our Privacy Policy. We comply with PIPEDA and the British Columbia Personal Information Protection Act (PIPA) with respect to all personal information we handle.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings arising from or related to these Terms or your use of our services shall be brought exclusively in the courts of competent jurisdiction located in Vancouver, British Columbia, Canada. You irrevocably submit to the exclusive jurisdiction of those courts.
11. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, the parties agree to submit the matter to mediation administered by a mutually agreed-upon mediator in Vancouver, British Columbia.
If mediation does not result in a resolution within 60 days, the dispute shall be referred to and finally resolved by binding arbitration in Vancouver, British Columbia, conducted in English under the rules of the British Columbia International Commercial Arbitration Centre (or its successor). The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgement in any court of competent jurisdiction.

13. Effective Date
These Terms of Service are effective as of August 15, 2026, and supersede all prior agreements, understandings, and communications, whether written or oral, between you and Clearpath Professional Development Ltd. regarding the subject matter herein. We reserve the right to modify these Terms at any time. Material changes will be communicated through our website, and your continued use of our services after such modifications constitutes acceptance of the updated Terms.
